You agree that any dispute between you and PARTNERHOPE arising out of or relating to your use of or access to the Site or these Terms will be governed by the dispute resolution procedure outlined below. We want to address your concerns without expending your or our resources on a formal legal case, so we have developed a tiered dispute resolution process. 4.6.1 Before filing a claim against PARTNERHOPE, you agree to try to first contact us and make a good faith, sustained effort to resolve the dispute informally by contacting us via email at admin@relationalrecovery.com. If a dispute is not resolved within 15 days after we receive your email, You and PARTNERHOPE will resolve any claim, dispute, or controversy (excluding claims for injunctive or other equitable relief) arising out of or in connection with or relating to this Agreement by binding arbitration as set forth below: 4.6.2 For any claim (excluding claims for injunctive or other equitable relief) under these Terms where the total amount of the award sought is less than $10,000 USD, the parties agree to resolve the dispute through binding non-appearance-based arbitration. The party electing such arbitration shall initiate the arbitration through an established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, as selected by the party initiating the arbitration; the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. 4.6.3 For any claim (excluding claims for injunctive or other equitable relief) under this Agreement where the total amount of the award sought is $10,000 USD or more, the parties agree to resolve the dispute through by the American Arbitration Association ("AAA") under the Commercial Arbitration Rules and Supplementary Procedures for Consumer Related Disputes then in effect for the AAA, except as provided herein. Unless you and PARTNERHOPE agree otherwise, the arbitration will be conducted in Loudon County, Virginia. Each party will be responsible for paying any AAA filing, administrative and arbitrator fees in accordance with AAA rules. The award rendered by the arbitrator shall include costs of arbitration, reasonable attorneys' fees and reasonable costs for expert and other witnesses, and any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts, including but not limited to matters related to data security, intellectual property or unauthorized access to or use of the Site. 4.6.4 Exceptions to Arbitration: PARTNERHOPE may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Site or content or infringement of intellectual property rights (for example, trademark, trade secret, copyright, or patent rights) without first engaging in the informal dispute-resolution process described above. 4.6.5 YOU MAY ONLY RESOLVE DISPUTES WITH PARTNERHOPE ON AN INDIVIDUAL BASIS, AND MAY NOT BRING A CLAIM AS A PLAINTIFF OR A CLASS MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. CLASS ARBITRATIONS, CLASS ACTIONS, PRIVATE ATTORNEY GENERAL ACTIONS, AND CONSOLIDATION WITH OTHER ARBITRATIONS ARE NOT ALLOWED UNDER THESE TERMS OF USE. 4.6.6 Notwithstanding the above, you can decline or “opt out” of the alternative dispute resolution process described above by contacting admin@relationalrecovery.com within 30 days of first accepting these Terms and stating that you (first and last name) decline this dispute resolution process. 4.6.7 YOU UNDERSTAND AND AGREE THAT, BY NOT OPTING-OUT OF THE ALTERNATIVE DISPUTE RESOLUTION PROCESS DESCRIBED, YOU WAIVE ANY RIGHT TO JURY TRIAL TO WHICH YOU MAY OTHERWISE BE ENTITLED IN CONNECTION WITH ANY ACTION OR LITIGATION IN ANY WAY ARISING OUT OF OR RELATED TO THESE TERMS OF USE. 4.6.8 Furthermore, you agree that any cause of action must commence within one (1) year after the underlying issue first arose, otherwise you waive any right to bring such cause of action and it is permanently barred. 4.6.9 If you opt-out of the dispute resolution process described in this section, or if any matter is otherwise determined not to be subject to such dispute resolution process, you hereby submit to the exclusive jurisdiction of any state or federal court sitting in the Commonwealth of Virginia within twenty-five (25) miles of Leesburg, Virginia, in any legal proceeding arising out of or relating to this Agreement. You agree that any and all claims and matters arising out of the use of the Site, unless subject to the dispute resolution process described above, may be heard and determined in any such court, and you hereby waive any right to object to such filing on grounds of improper venue, forum non-conveniens, or other venue-related grounds, unless such objection asserts that the claim or matter in dispute is subject to determination through the dispute resolution process described above. 4.7. Remedies. In the event of a breach or threatened breach by YOU of any of the provisions of this Agreement, YOU hereby consent and agree that PARTNERHOPE shall be entitled to obtain a temporary or permanent injunction or other equitable relief against such breach or threatened breach from any court of competent jurisdiction, without the necessity of showing any actual damages or that monetary damages would not afford an adequate remedy, and without the necessity of posting any bond or other security. Such equitable relief shall be in addition to, not in lieu of, legal remedies, monetary damages or other available forms of relief. 4.8. Enforceability; Severability; Construction. The invalidity of any portion of this Agreement whether declared invalid by a court or otherwise shall not affect the validity of the remainder of the Agreement. If a court of competent jurisdiction should find the provisions of any provision of this Agreement to be invalid, illegal, or unenforceable to any extent, the remainder of this Agreement and the application thereof shall not be affected and shall be enforceable to the fullest extent permitted by law. The language in all parts of this Agreement will be construed as a whole according to its fair meaning and not strictly for or against any Party. Any rule of construction to the effect that ambiguities are to be resolved against the drafting Party shall not apply in the interpretation of this Agreement or any amendments hereto. 4.9. Attorneys’ Fees and Legal Expenses. If any proceeding or action shall be brought to recover any amount under this Agreement, or for or on account of any breach hereof, or to enforce or interpret any of the terms, covenants, or conditions of this Agreement, the prevailing party shall be entitled to recover from the other party, as part of the prevailing party's costs, reasonable attorneys' fees, the amount of which shall be fixed by the court, and shall be made a part of any award or judgment rendered (regardless of whether or not the matter is contested).
